FOUNDATION'S STATUTES

Chapter I
GENERAL PROVISIONS

 

§1

  1. The Foundation under the name FUNDACJA CHRYSTUSA SŁUGI [CHRISTUS SERVUS FOUNDATION] abbreviated form “FChS” hereinafter referred to as the “Foundation”, established by Piotr Mielcarek, Marcin Żelewski and Krzysztof Mielcarek, hereinafter referred to as the “Founders”, by the notary deed drawn up by Katarzyna Robaczewska, notary public at the Notary Office in Pruszcz Gdański at 12/15 Grunwaldzka street on 6 September 2012, Repertory A No. 5630/2012 operates under the provisions of the Act of 6 April 1984 on foundations (Dz.U.[Journal of  Laws] of 1991 No. 46, item 203) and the provisions of the Statutes.
  2. The Foundation may use, for the purposes of foreign cooperation, the name Christus Servus Foundation or the translation of its name in the selected foreign languages.

§2

The Foundation shall have legal personality.

§3

The registered office of the Foundation shall be the city of Gdańsk in the Republic of Poland.

§4

1. The Foundation shall operate within the territory of the Republic of Poland.

2. For the proper attainment of the social and economic objectives, the Foundation shall be entitled to conduct its activity abroad. 

§ 5

The Foundation shall use a round seal with the inscription in the rim stating its name and the registered office thereof.

§ 6

The Foundation shall be entitled to establish badges and medals of honour and grant them together with other prizes and awards to individuals and legal entities distinguished to
the Foundation itself or the objectives thereof.

§ 7

The Foundation may establish permanent and temporary local branches to carry out its statutory tasks.

 


Chapter II
PURPOSES AND RULES OF FOUNDATION’S ACTIVITIES

 

§ 8

The Foundation shall be established for the purpose of popularizing the Christian attitudes of support for disadvantaged individuals and promoting fundamental principles of active and creative living in Poland and the democratic societies of the European Union.

§ 9

The purposes of the Foundation specified in § 8 are covered by the socially useful activity, in particular in the following fields:

1. developing civic attitudes understood as: -

-        promoting professional, honest and lawful rules of professional and economic activity,

 

-        promoting charity activity inspired by the role model of Jesus Christ, the Servant,

 

-        providing knowledge on the history of Poland and Europe and the most important achievements of the Greek-Roman and Judeo-Christian cultures,

 

-        providing knowledge and developing skills as well as shaping attitudes based on the best methods of Christian formation,

 

-        providing knowledge on the rules relating to the functioning of the European Union and its Member States,

 

-        shaping the skills of civic engagement in compliance with applicable laws in force, based on the principles provided for in the EU regulations,

 

-        developing the abilities and skills of channelling active participation to serve the public good, authentic solidarity and tolerance towards people representing different beliefs and different value systems;

2.         providing citizenship education understood as the popularization of knowledge on the best methods of Christian formation and functioning of the local autonomy, principles of democracy, human rights, civil activity, institutions of a democratic state, free market economy, the place of Poland and other European Union Member States in the contemporary world, as well as increasing social skills necessary for the public engagement;

  1. 3.         organising professional development in the scope referred to in sec. 2;

 

  1. integrating scientists, specialists (especially doctors, lawyers and economists), representatives of freelance jobs and workers for voluntary purposes in Poland and abroad around the idea of the popularization of citizenship education understood as in sec. 2.         

  §10

 

The Foundation shall achieve its objectives by:

 

    1.   organizing and financing its own educational and scholarship  programs,

    2.   financing conferences, seminars, workshops, trainings and competitions, organized by the Foundation,  in Poland and abroad,

    3.   organizing and financing its own international exchange programs,

    4.   organisational and financial support for educational programs, conferences, seminars, workshops, trainings and competitions complying with the objectives of the Foundation but organized by other institutions or individuals,

    5.  networking with domestic and foreign environments operating in the area of citizenship education by organising and financing international trainings, seminars, conferences, visits and international exchanges,

    6. cooperation with educational and scientific institutions as well as community   organisations whose activity supports the development of citizenship  education by organising and financing trainings, seminars and conferences,

    7. domestic and foreign cooperation with individuals interested in the promotion of citizenship education by distribution of educational materials, organising international conferences and seminars,

    8. organizing and financing research in the field of citizenship education complying with the objectives of the Foundation,

    9. developing and disseminating information and educational materials,

   10. popularising experience and ideas relating to citizenship education  developed in other states of the world,

   11. organising trainings and conferences in the framework of the professional development of teachers referred to in §9 sec. 3,

   12. acquiring financial and material assets for building and subsequently operating the training centres and institutions of higher public utility complying with the objectives of the Foundation,

   13. cooperation with mass media.

 

 

§11

For the purpose of achieving its objectives the Foundation may support activities of other legal entities and individuals whose activity is similar to the objectives of the Foundation.

Chapter III

ASSETS AND INCOME OF THE FOUNDATION

 

 

§12

The Foundation assets shall include the initial fund amounting to PLN 2000 (two thousand) zlotys as well as financial means, immoveable and moveable property acquired by the Foundation in the course of its operation.

§13

The Foundation shall be liable for its obligations with all assets thereof.

§14

Income of the Foundation results particularly from:

- gifts, bequests and endowments,

- grants and subsidies by legal entities,

- income form collections and public events,

- shares in the profits of legal entities,

- income from moveable and immoveable property of the Foundation,

- income from economic activity.

§15

The assets of the Foundation shall be assigned to the achievement of the Foundation’s statutory objectives and covering the costs of its operation.

 

§16

Income from subsidies, gifts, bequests and endowments may be used for the achievement of all the objectives of the Foundation and covering operation costs of the Foundation unless the donators provide otherwise.

§ 17

The Foundation shall be entitled to conduct economic activity to the extent serving the achievement of its objectives.

§ 18

 

Should the Foundation be appointed to inherit the Governing Board shall make a declaration on the acceptance of inheritance with the benefit of inventory and only if it is certain that - when making the above mentioned declaration - the assets of the inheritance exceed to a large extend the inheritance debts.

 


Chapter IV

FOUNDATION BODIES

 

§ 19

  1. The Foundation bodies shall include:
    1. Founders Council
    2. Program Council
    3. Governing Board

 

  1. A.        FOUNDERS COUNCIL

 

§ 20

 

  1. The Founders Council shall consist of two to seven members.

 

  1. The first Founders Council shall consist of its founders-establishing the Foundation.

 

  1. Should any member of the Founders Council resign, decease or should any other circumstances preventing him/her from holding the function of the Founders Council member occur, other members shall elect a new member of the Founders Council in lieu thereof by the unanimous resolution.

 

§ 21

 

  1. The Founders Council is a supervisory body.

 

  1. The Founders Council has also initiative and opinion making powers.

 

§ 22

The members of the Founders Council shall elect the Chairman of the Founders Council from among themselves.

§ 23

1. The Founders Council shall convene at least once a year.

2. The Founders Council shall be entitled to organise meetings together with the Program Council and the Governing Board.

§ 24

1. The resolutions of the Founders Council shall be made by the simple majority of votes unless the provisions of the Statutes provide otherwise.

2. Should the number of votes be equal the vote of the Chairman of the Founders Council shall prevail.

§ 25

The responsibilities of the Founders Council shall include:

1.         passing resolutions on any amendments to the Statutes of the Foundation and  liquidation thereof,

2.         appointing and dismissing the members of the Governing Board and accepting their resignations from the membership in the Governing Board,

3.                    appointing and dismissing the members of the Program Council as well accepting their resignation from the membership in the Council upon request of the Governing Board,

4.         accepting the annual statements of account and reports of the Foundation activity,

5.         adopting recommendations relating to the guiding principles for the Governing Board,

6.         carrying out inspections of the financial operation of the Foundation and especially inspections of the accounting books as well as realization of the Foundation’s income and expenditures,

7.         establishing rules on makings subsidies and grants of the Foundation’s assets,

8.         deciding on the amount of or rules on remuneration for the Governing Board,

9.         passing resolutions on merging with another foundation,

10.      passing resolutions on commencement, change, suspension or cessation of  conducting the economic activity and the scope thereof.

 

§ 26

 

  1. Resolutions of the Founders Council on:

 

1)    amendments to the Foundation Statutes,

2)    liquidation of the Foundation or merging thereof with another foundation,

3)    dismissing any member of the the Program Council,

4)    dismissing any member of the Governing Board

shall be adopted by the simple majority of votes when all the members of the Founders Council are present.

2. Should the number of votes be equal the vote by the Chairman of the Founders Council shall prevail.

3. In the resolution liquidating the Foundation a liquidator should be appointed and the rules and procedure of completing liquidation should be specified.

 


B. PROGRAM COUNCIL

 

§ 27

The Program Council is a body with the initiative and opinion making powers.

§ 28

The Program Council shall be composed of individuals or legal entities invited to participate in work thereof by the members of the Governing Board acting jointly.

§ 29

1. The members of the Program Council shall elect the Chairman and two deputy Chairmen from among themselves.

2. The Chairman and the deputy Chairmen of the Council shall be elected by the Program Council by the simple majority of votes in open voting.

3. The term of office of the Chairman and the deputy Chairmen of the Program Council shall be two years.

§ 30

The Program Council shall perform its duties at the sessions which will be held at least twice a year.

§ 31

At least one representative of the Foundation’s Governing Board shall participate in the sessions of the Program Council.

§ 32

The resolutions of the Program Council shall be passed by the simple majority of votes irrespective of the number of the members present. However, the presence of the Chairman or the Deputy Chairman of the Council shall be required.

 

§ 33

The powers of the Program Council shall include:

  1. making motions concerning the Foundation’s activities,

 

  1. providing opinions on long-term as well as annual plans and programs of the Foundation’s activities ,

 

  1. expressing opinions on issues submitted to it by the Governing Board of the Foundation,

 

  1. providing opinions on reports, of the Governing Board, on the Foundation’s activity and presenting opinions to the Founders Council,

 

  1. providing opinions on the resolutions of the Governing Board concerning:

 

-        directions, forms and scope of conducting the economic activity,

 

-    establishing Foundation units as well as its local and specialised branches,

 

- participating, by the Foundation, in commercial companies, foundations, associations and other economic undertakings,

 

- establishing the regulations of the Program Council.

 

C.        GOVERNING BOARD

 

§ 34

1. The Foundation Governing Board shall be composed of three to seven members and shall be appointed for the indefinite period of time by the Founders Council.

2.  The Founders Council shall entrust the functions of the President of the Governing Board, the Vice-President of the Governing Board or a Member of the Governing Board.

§ 35

The member of the Founders Council may become a member of the Governing Board.

§ 36

1. The term of office of the President and Vice-presidents of the Foundation shall be two years.

2. Any member of the Governing Board may be dismissed by the Founders Council at any time.

§ 37

 

The Governing Board shall make decisions on all the matters not reserved for the powers of the Founders Council.

 

§ 38

The declarations of will on behalf of the Foundation shall be made by two members of the Governing Board including the President or the Vice-president of the Foundation.

 

§ 39

The Governing Board shall adopt resolutions by the simple majority of votes. However, for the resolution to be valid, the presence of at least half of its members including the President or the Vice-President of the Foundation shall be required.

 

§ 40

The Governing Board in particular shall:

  1. represent the Foundation in external relations,

 

  1. adopt long term and annual plans and programs of the Foundation’s activities,

 

  1. manage the assets of the Foundation,

 

  1. accept subsidies, grants, bequests and endowments,

 

  1. organise and administer the Foundation Office’s work,

 

  1. establish and cancel the organisational units of the Foundation,

 

  1. appoint and dismiss the head of the Foundation Office and other persons holding managerial and independent positions in the organisational units of the Foundation,

 

  1. decide on the number of employees, rules of remuneration as well as amounts of funds for remuneration and rewards for the employees of the Foundation employed under the statutory activity,

 

  1. submit to the Founders Council decisions on any amendment to the Foundation Statutes and liquidation thereof.

§ 41

The Governing Board shall be entitled to appoint, as its advisory body, the Program Committee composed of individuals integrated around the ideas of the Foundation.

§ 42

The Members of the Governing Board shall be remunerated and rewarded by the Founders Council for holding the above mentioned functions.

 

Chapter V

FINAL PROVISIONS

 

§ 43

The Foundation may merge with another foundation for effective attaining its objectives.

§ 44

Merger cannot be made should the purpose of the Foundation be changed seriously as a result thereof.

§ 45

The Foundation shall be subject to liquidation should the objectives for which it has been established be achieved or should the Foundation's property and financial assets be exhausted.
